Futureboard Marketplace Terms of Service

Welcome to Futureboard Marketplace. These Terms of Service (“Terms”) govern your access to and use of Futureboard Marketplace, including browsing, uploading, publishing, purchasing, downloading, licensing, and distributing digital content, plugins, presets, sound packs, templates, themes, extensions, and other related products or services available through the Marketplace.
By accessing or using Futureboard Marketplace, you agree to be bound by these Terms. If you do not agree, you must not access or use the Marketplace. If you are entering into these Terms on behalf of an organization, you agree to these Terms on its behalf and confirm that you have authority to do so.
1. Definitions
For the purpose of these Terms:
- “Futureboard”, “we”, “our”, or “us” refers to the operators and maintainers of Futureboard Marketplace.
- “Marketplace” refers to Futureboard Marketplace and all related services, pages, APIs, tools, and systems.
- “User”, “you”, or “your” refers to any person or entity that accesses or uses the Marketplace.
- “Creator” refers to a User who uploads, publishes, sells, or distributes Content through the Marketplace.
- “Customer” refers to a User who downloads, purchases, or otherwise obtains Content through the Marketplace.
- “Content” refers to any digital item uploaded, listed, distributed, sold, or made available through the Marketplace, including plugins, presets, sample packs, project templates, themes, extensions, scripts, documentation, and related files.
- “Paid Content” refers to Content that requires payment before access or download.
- “Free Content” refers to Content that is made available without payment.
2. Eligibility
You must be at least the age of majority in your jurisdiction, or have the consent and supervision of a parent or legal guardian, to use the Marketplace. The Marketplace is not directed to children below the minimum age required by applicable law.
If you use the Marketplace on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” and “your” will refer to that entity.
3. Marketplace Account
Some features of the Marketplace may require an account.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information, to keep it up to date, and to notify us promptly of any unauthorized use of your account or any other breach of security.
We may suspend or terminate accounts that violate these Terms, abuse the Marketplace, infringe intellectual property rights, or create security, legal, or operational risks.
4. Marketplace Role
Futureboard Marketplace provides a platform where Creators can publish and distribute Content and Customers can obtain Content.
Unless explicitly stated otherwise:
- Futureboard is not the creator, seller, publisher, or owner of third-party Content.
- Creators are responsible for their own Content, listings, licenses, support, pricing, and legal compliance.
- Customers are responsible for reviewing Content details, compatibility, license terms, and system requirements before purchase or download.
Futureboard may review, moderate, remove, hide, reject, or restrict Content at our discretion, but we are not obligated to monitor all Content. Any contract for the sale of Paid Content is formed directly between the Creator and the Customer; Futureboard acts only as the platform facilitating the transaction unless we expressly state otherwise.
5. Creator Terms
By uploading or publishing Content to the Marketplace, you represent and warrant that:
- You own the Content or have all necessary rights, licenses, and permissions to publish and distribute it.
- The Content does not infringe any copyright, trademark, patent, trade secret, privacy right, publicity right, or other legal right.
- The Content does not contain malware, spyware, ransomware, destructive code, hidden miners, unauthorized telemetry, or other harmful components.
- The Content complies with all applicable laws and regulations.
- The Content description, screenshots, metadata, pricing, license information, and compatibility details are accurate and not misleading.
- You will provide reasonable support or documentation where appropriate.
You retain ownership of your Content. However, by uploading Content to the Marketplace, you grant Futureboard a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, promote, index, cache, and technically process the Content solely for operating, improving, securing, and promoting the Marketplace. This license ends when you remove the Content or terminate your account, except that (a) we may retain and serve copies already delivered to Customers under their applicable licenses, and (b) we may retain residual copies in backups and logs for a limited period as described in our Privacy Policy.
6. Content Licensing
Each item of Content may be subject to its own license terms provided by the Creator.
Unless a Creator specifies otherwise, downloading or purchasing Content grants the Customer a limited, non-exclusive, non-transferable license to use the Content for personal or commercial creative work, subject to these Terms and any additional license terms provided with the Content.
Customers may not:
- Resell, redistribute, sublicense, share, leak, or re-upload Content as standalone files.
- Claim ownership of Content created by another Creator.
- Remove copyright notices, license files, or attribution requirements.
- Use Content in a way that violates applicable law or the Creator’s license terms.
- Reverse engineer, modify, or extract protected components where prohibited by law or license terms.
Creators may choose open-source, permissive, proprietary, free, paid, commercial, non-commercial, or custom licenses, provided they clearly disclose the applicable license terms. Where a Creator’s license terms conflict with these Terms, the Creator’s license governs the use of that specific Content, except that these Terms continue to govern the relationship between you and Futureboard.
7. Payments
Futureboard Marketplace may allow Creators to sell Paid Content directly to Customers through supported third-party payment providers.
Payments may be processed by external services such as Stripe, PromptPay, or other available payment providers. Futureboard does not store full payment card details unless explicitly stated and legally permitted.
Creators are responsible for:
- Connecting and maintaining their own payment account where required.
- Setting prices for their Content.
- Paying applicable taxes, fees, duties, and reporting obligations.
- Complying with payment provider terms.
- Handling chargebacks, refunds, disputes, and customer support unless otherwise stated.
Futureboard may display prices, process checkout flows, collect platform fees, or facilitate transactions depending on the Marketplace configuration. You authorize us and our payment providers to charge your selected payment method for the amounts you confirm at checkout, including applicable taxes and fees.
8. Platform Fees
Futureboard may charge platform fees, transaction fees, listing fees, payout fees, or other service fees.
Any applicable fees will be disclosed to Creators before listing or selling Paid Content where required.
Futureboard may update its fee structure from time to time. We will provide reasonable advance notice of material fee changes through the Marketplace, website, email, or other reasonable means. Continued use of the Marketplace after fee changes take effect means you accept the updated fees.
9. Refunds and Chargebacks
Refund policies may vary depending on the Creator, Content type, payment provider, and applicable consumer law.
Because digital Content may be delivered immediately after purchase, all sales may be final unless:
- The Creator provides a refund policy.
- The Content is defective or materially different from its description.
- A refund is required by applicable law.
- Futureboard determines that a refund is appropriate.
Abuse of refund systems, chargebacks, or payment disputes may result in account restrictions or termination. Filing a chargeback without first attempting to resolve the issue with the Creator or with us may be treated as a violation of these Terms.
10. Taxes
Creators and Customers are responsible for any taxes, duties, VAT, GST, withholding taxes, or other governmental charges that may apply to purchases, sales, payouts, or use of the Marketplace.
Futureboard may collect, report, or remit taxes where legally required, and may request tax-related information from Creators to comply with applicable law.
11. Prohibited Content and Conduct
You may not upload, publish, distribute, sell, promote, or use the Marketplace to engage in Content or conduct that:
- Infringes intellectual property rights.
- Contains malware, viruses, spyware, ransomware, backdoors, credential stealers, hidden miners, or harmful code.
- Enables piracy, cracking, license bypassing, unauthorized copying, or DRM circumvention.
- Contains stolen, leaked, or unauthorized materials.
- Violates privacy, publicity, or data protection rights.
- Contains illegal, abusive, hateful, harassing, exploitative, or harmful material.
- Sexualizes or exploits minors in any way.
- Misrepresents compatibility, functionality, origin, authorship, or ownership.
- Violates export control, sanctions, or applicable laws.
- Attempts to gain unauthorized access to, probe, scan, overload, or disrupt the security, stability, or operation of Futureboard, Futureboard Studio, the Marketplace, or any User.
Futureboard may remove or restrict any Content, and may suspend any account, that we believe violates these Terms or creates risk for users, Creators, the Marketplace, or the wider community.
12. Security Review and Moderation
Futureboard may perform automated or manual security checks, metadata review, malware scanning, compatibility checks, or moderation review.
However, Marketplace availability does not mean that Content is guaranteed to be safe, error-free, compatible, secure, legal, or suitable for your use.
Users should exercise caution when installing plugins, scripts, extensions, or executable Content, and should maintain their own security measures and backups.
13. Intellectual Property Complaints
If you believe Content on the Marketplace infringes your intellectual property rights, you may submit a complaint to Futureboard with sufficient information to identify the Content, your claimed rights, and your contact details.
We may remove or disable access to allegedly infringing Content and may notify the Creator. Where appropriate, we may reinstate Content following a valid counter-notice.
Creators who repeatedly infringe intellectual property rights may have their accounts suspended or terminated.
14. Open-Source Content
Some Content may be released under open-source licenses.
For open-source Content, the applicable open-source license controls your rights and obligations for that Content. These Terms do not limit rights granted under valid open-source licenses.
Creators are responsible for accurately identifying open-source components, dependencies, license notices, attribution requirements, and source code availability where required.
15. Compatibility
Futureboard Marketplace may include Content designed for Futureboard Studio, Futureboard Express, Futureboard Lite, third-party DAWs, operating systems, plugin formats, or other environments.
Compatibility information is provided by Creators unless otherwise stated. Futureboard does not guarantee that any Content will work with your system, DAW version, operating system, hardware, plugin host, or workflow.
16. User Reviews, Ratings, and Feedback
The Marketplace may allow Users to post reviews, ratings, comments, bug reports, or feedback.
You agree that your feedback must be honest, lawful, relevant, and not abusive, misleading, spammy, or fraudulent.
Futureboard may remove reviews or feedback that violate these Terms, manipulate ratings, contain harassment, or create legal risk.
By submitting feedback, you grant Futureboard a worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, and incorporate that feedback for Marketplace operation and improvement, without obligation to compensate you.
17. Privacy
Your use of the Marketplace is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
We may collect account information, purchase history, download records, device information, logs, payment metadata, and other data necessary to operate, secure, improve, and support the Marketplace.
Payment information may be processed by third-party payment providers under their own privacy policies and terms.
18. Availability and Changes
Futureboard Marketplace may be updated, modified, interrupted, suspended, or discontinued at any time.
We do not guarantee that the Marketplace, any Content, download link, account feature, payment feature, or Creator listing will remain available permanently.
Creators should keep their own backups of Content. Customers should keep backups of downloaded purchases where permitted.
19. No Warranty
The Marketplace and all Content are provided “as is” and “as available.”
To the maximum extent permitted by law, Futureboard disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, security, availability, accuracy, and compatibility.
Futureboard does not guarantee that Content will be error-free, secure, uninterrupted, compatible, or suitable for any particular creative, professional, commercial, or technical purpose. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
20. Limitation of Liability
To the maximum extent permitted by law, Futureboard will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, projects, audio files, presets, business opportunities, goodwill, or system functionality.
Futureboard is not responsible for damages caused by third-party Content, Creator actions, payment provider issues, user misuse, incompatible systems, malware submitted by third parties, or external services.
Where liability cannot be excluded, Futureboard’s total aggregate liability will be limited to the greater of (a) the amount you paid to Futureboard for the relevant Marketplace service during the twelve months before the event giving rise to the claim, or (b) the minimum amount permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
21. Indemnification
You agree to defend, indemnify, and hold harmless Futureboard, its maintainers, contributors, developers, operators, affiliates, and service providers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Marketplace.
- Your Content.
- Your violation of these Terms.
- Your violation of applicable law.
- Your infringement or alleged infringement of third-party rights.
- Your payment, tax, refund, chargeback, or Creator-related obligations.
22. Account Suspension and Termination
Futureboard may suspend, restrict, or terminate your account or access to the Marketplace if we believe that you:
- Violated these Terms.
- Uploaded prohibited or harmful Content.
- Infringed intellectual property rights.
- Abused payment, refund, or review systems.
- Created security, legal, reputational, or operational risk.
- Used the Marketplace in a fraudulent, harmful, or unlawful way.
You may stop using the Marketplace and close your account at any time. Upon termination, your access to some Marketplace features may be removed. Certain provisions of these Terms will survive termination, including ownership, licensing, payment obligations, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.
23. Third-Party Services
The Marketplace may integrate with third-party services, including payment processors, storage providers, analytics providers, authentication providers, hosting providers, and external websites.
Futureboard is not responsible for third-party services, their availability, security, content, policies, or actions. Your use of third-party services may be governed by separate terms and privacy policies.
24. Export Control and Sanctions
You agree not to use, download, purchase, sell, upload, or distribute Content through the Marketplace in violation of export control laws, sanctions laws, or other applicable trade restrictions. You represent that you are not located in, and are not acting on behalf of anyone located in, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party list.
25. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or relating to them, their subject matter, or their formation (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict-of-law principles.
Before initiating any formal proceeding, you agree to first contact us and attempt in good faith to resolve the dispute informally. If the dispute cannot be resolved within a reasonable period, you and Futureboard agree to submit to the exclusive jurisdiction of the competent courts located in Thailand, except that Futureboard may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or the security of the Marketplace.
Nothing in this section limits any mandatory consumer protection rights you may have under the laws of your country of residence.
26. Force Majeure
Futureboard will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, power or internet failures, denial-of-service attacks, or failures of third-party service providers.
27. Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. Futureboard may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. These Terms bind and benefit the parties and their permitted successors and assigns.
28. Changes to These Terms
Futureboard may update these Terms from time to time.
When we make material changes, we may provide notice through the Marketplace, website, email, or other reasonable means, and update the “Last Updated” date above. Your continued use of the Marketplace after updated Terms become effective means you accept the revised Terms. If you do not agree to the updated Terms, you must stop using the Marketplace.

30. Entire Agreement, Severability, and Waiver
These Terms, together with any applicable policies, Creator terms, license terms, and the Privacy Policy, form the entire agreement between you and Futureboard regarding the Marketplace and supersede any prior agreements on that subject.
If any part of these Terms is found invalid or unenforceable, that part will be limited or removed to the minimum extent necessary, and the remaining parts will continue in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. A waiver is effective only if made in writing.
